Event Description

The federal and state energy regulatory landscape is changing, with increasing adoption of renewable energy standards for local and regional electricity grids and increasing concerns about the effects of carbon emissions from electricity production. Biography

Adam Wade

Adam Wade is a member of the Business Department’s Energy Technology & Renewables group. His business, corporate and project finance experience includes broad-based experience serving the needs of renewable energy companies in their development and financing of wind, solar and geothermal projects, including drafting and negotiating operation and maintenance agreements, natural gas and wood fuel supply agreements and off-take agreements such as renewable energy credit sales agreements and residential and commercial solar power purchase agreements.

In the wind industry, Adam has had significant experience representing the world’s largest wind turbine manufacturer in turbine supply, warranty and service arrangements for transactions with developers active in North America. His project finance experience includes negotiation and documentation of credit and security documents for natural gas baseload and peaking facilities, project agreements for cogeneration facilities as well as documentation of project financings using the ‘equity-flip’ structure for wind and solar projects involving investment tax credits and production tax credits.

Adam also has experience in general corporate counseling, business formation, mergers and acquisitions and formations of joint ventures. In his mergers and acquisitions practice, he has advised numerous clients in analysis of transactions and preparation of filings with the Federal Trade Commission and Department of Justice, Antitrust Division, necessary for compliance with the premerger notification reporting requirements of the Hart-Scott-Rodino Antitrust Improvements Act of 1976.

Amy E. Boyd

Amy Boyd assists business clients with a diverse array of administrative law concerns involving regulatory compliance, government advocacy and dispute resolution. Before joining Foley Hoag, Amy had considerable experience in both environmental policy and in direct political campaigns, giving her insight into practical strategies for permitting and other regulatory matters – particularly those involving environmental and energy concerns. She also assists clients with insurance coverage and other commercial disputes, and advises on transactional issues.

While attending law school, Amy honed her dispute resolution skills by serving as a volunteer mediator with the Center for Conflict Resolution, working in the Cook County, Illinois Small Claims Courts. Her law school experience as an intern at the Environmental Law & Policy Center, Chicago, Illinois was an extension of her earlier interest in environmental law. Before entering law school, Amy served as Deputy Campaign Manager in Laura Boyd’s (no relation) bid for election as Lt. Governor of Oklahoma, and was Somerset County Field Coordinator for the New Jersey Democratic Coordinated Campaign.
